1. Introduction
Welcome to Plshold. These Terms of Service ("Terms") govern your access to and use of the Plshold website and services, including any content, functionality, and services offered on or through plshold.app (the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
2. Eligibility
The Service is intended for users who are at least 18 years old. By using the Service, you represent and warrant that you are of legal age to form a binding contract with Plshold and meet all of the foregoing eligibility requirements.
3. Account Registration
To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
4. Subscription and Billing
Some aspects of the Service may be provided on a subscription basis. By selecting a subscription plan, you agree to pay the subscription fees indicated for that service. Subscription fees are billed in advance on a monthly or annual basis, depending on the type of subscription you select.
Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew, and you authorize us to charge your payment method for the next billing period.
5. Acceptable Use
You agree not to use the Service:
- In any way that violates any applicable federal, state, local, or international law or regulation.
- To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
- To impersonate or attempt to impersonate Plshold, a Plshold employee, another user, or any other person or entity.
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Plshold or users of the Service, or expose them to liability.
6. Intellectual Property Rights
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Plshold, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
7. Limitation of Liability
In no event will Plshold, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Service, including any direct, indirect, special, incidental, consequential, or punitive damages.
8. Indemnification
You agree to defend, indemnify, and hold harmless Plshold, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
9. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
10. Changes to Terms
We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Service thereafter.
11. Governing Law
These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule.
